GENERAL TERMS AND CONDITIONS OF USE FOR REBILL PAYERS

Welcome to Rebill! We appreciate your use of our Rebill Services.

The use of the Rebill platform, the completion of any payment, or the express acceptance of these General Terms and Conditions of Use for Rebill Payers (the “T&Cs”) implies your full and unreserved acceptance of the same.

We recommend that you read this document carefully and keep a copy.

If you do not have the legal capacity to contract or are a minor in your jurisdiction, you must refrain from using our services. 

1. GENERALITIES

1.1. Rebill is a technological platform that allows payers (you) to make payments to affiliated merchants (“Rebill Merchants”) through local payment methods in Argentina, Brazil, Chile, Colombia, and Mexico (the “Rebill Countries”).

1.2. The companies providing the services in each country are:

  • Argentina: REBILL S.A.
  • Brazil: REBILL DO BRASIL PAGAMENTOS LTDA.
  • Chile: REBILL SPA
  • Colombia: REBILL SAS
  • Mexico: REBILL PAYMENTS DE CV
  • Uruguay: FITZWILL S.A. (Free Trade Zone). It does not provide local services to individuals or entities in Uruguay and does not process domestic transactions within Uruguayan territory.

1.3. Rebill acts exclusively as payment agent and/or technology provider for the Rebill Merchants. When you make a payment through Rebill, you are paying directly to the Merchant, not to Rebill.

1.4. Rebill does not sell goods or provide services. We assume no responsibility whatsoever for the quality, safety, legality, delivery, or suitability of the goods or services acquired from the Merchant.

2. SERVICE AND COSTS

2.1. Currently, the use of Rebill is free for payers. Rebill reserves the right to charge fees in the future, providing reasonable prior notice.

2.2. Rebill may immediately suspend or cancel your access to the service in case of fraudulent use, breach of these T&Cs, or when required by applicable regulations.

2.3. The lack of immediate action by Rebill in the face of a breach does not imply a waiver of its rights.

3. MODIFICATIONS

3.1. Rebill may modify these T&Cs at any time. Modifications will take effect upon publication in the legal section at www.rebill.com and will not have retroactive effect.

3.2. Continued use of the service after publication implies acceptance of the modifications.

4. RESTRICTIONS OF USE

It is expressly prohibited to use Rebill for:

  • Paying amounts that do not correspond to legitimate goods or services acquired from a Rebill Merchant.
  • Making transfers between own or third-party accounts.
  • Obtaining cash advances or conducting financial intermediation activities.
  • Acquiring illicit or prohibited goods or services.
  • Accessing the system by means other than those provided by Rebill.

5. PAYER (END-USER) DECLARATIONS

By using Rebill, you declare and accept that:

  • Rebill is not a financial entity and does not capture public deposits.
  • Payments are governed by the law of the country of the Rebill company that processes the transaction.
  • Rebill is not responsible for tax, customs, or exchange control obligations arising from your purchase.
  • You are solely responsible for the accuracy of the information you provide.

6. INTELLECTUAL PROPERTY AND TRADEMARKS

6.1. All platform content (software, design, logos, domain names, functionalities, etc.) is the exclusive property of Rebill or its licensors and is protected by intellectual property laws and international treaties.

6.2. The REBILL® trademark is a registered trademark or in the process of registration (USPTO Serial No. 99440462 and corresponding local registrations). Its reproduction, imitation, use, or registration by third parties without express written authorization from Rebill is strictly prohibited.

6.3. You may not remove, alter, or conceal copyright notices, trademarks, or intellectual property legends.

6.4. Any unauthorized use will constitute a serious breach of these T&Cs and will give rise to the exercise of all corresponding legal actions.

7. PERSONAL DATA PROTECTION

7.1. Rebill processes your personal data in accordance with its Privacy Policy available at https://www.rebill.com/politica-de-privacidad.

7.2. By using Rebill, you expressly authorize the collection, storage, use, circulation, international transfer, and other processing of your data (including financial and card data) for:

  • Processing and validating payments.
  • Preventing fraud and impersonation.
  • Storing payment methods (Rebill Click) under the PCI-DSS standard.
  • Improving the service, personalization, and internal analysis.
  • Sending you transactional communications, service-related communications, and, unless you object, promotional communications.
  • Complying with legal and regulatory obligations.

7.3. You may exercise your ARCO rights (access, rectification, cancellation, opposition, revocation, portability, etc.) and revoke consent for promotional communications at any time by sending an email to protecciondedatos@rebill.com.

7.4. Data may be transferred internationally (including to the U.S. and EU countries) and shared with financial institutions, card networks, merchants, and providers necessary for the provision of the service.

8.LIMITATION OF LIABILITY AND WARRANTIES

8.1. The service is provided “AS IS” and “AS AVAILABLE,” without any warranties.

8.2. Rebill shall not be liable for indirect, consequential damages, lost profits, or failures in the delivery of goods or services by the Merchants. Rebill will only be liable for certain, personal, and direct damages caused by intent or gross negligence.

8.3. Rebill’s maximum liability, under any concept, shall not exceed the lesser of (i) the commissions charged to the Merchant for the disputed transaction or (ii) USD 50.

‍9.TERMINATION

9.1. You may stop using the service at any time.

9.2. Rebill may immediately terminate the service in case of breach, reasonable suspicion of fraud, or legal requirement.

10. COMMUNICATIONS AND NOTIFICATIONS

You accept receiving electronic communications from Rebill.

11. FINAL PROVISIONS

11.1. You accept the use of electronic communications for notifications and modifications of these T&Cs.

11.2. If any provision of these T&Cs is declared invalid or unenforceable by a competent court, the remaining provisions will remain in full force and effect.

11.3. You may not assign this contract or any rights or obligations derived from it without prior written authorization from Rebill. Rebill may freely assign the contract or any right or obligation to third parties without prior notice.

11.4. Rebill will not breach its obligations if this results from a force majeure or fortuitous event, understood as any unforeseeable and irresistible event beyond its reasonable control.

12. APPLICABLE LAW AND JURISDICTION

The law of the country of the Rebill company that processed the payment shall apply, and the courts of the city where that company is headquartered shall have jurisdiction.

13. COUNTRY-SPECIFIC PROVISIONS

Argentina

(Applies only to sales of products or services in Argentina)

  • Payments to Non-Resident Merchants

If necessary under the regulations governing foreign fund transfers, as a Payer you grant a mandate in favor of REBILL S.A. so that, acting in your name and on your behalf, it accesses the exchange market, acquires the necessary foreign currency, and submits all required documentation to make the payment for your purchase to the corresponding non-resident Merchant, under the terms of this agreement.

  • RIGHT OF WITHDRAWAL.

AS A PAYER, YOU MAY WITHDRAW FROM PURCHASES PAID THROUGH THE REBILL PLATFORM. TO DO SO, YOU MUST SUBMIT YOUR REQUEST TO THE SELLING MERCHANT WITHIN TEN (10) DAYS FOLLOWING THE EXECUTION OF THE PURCHASE OR SERVICE CONTRACT. WHEN THE MERCHANT INFORMS US, AND PROVIDED WE HAVE RECEIVED YOUR PAYMENT AND HAVE THE FUNDS IN OUR POSSESSION, WE WILL DO WHAT IS REQUIRED TO MANAGE THE REFUND OF THE PAID AMOUNT WITHIN 15 BUSINESS DAYS FOLLOWING YOUR REQUEST.

Brazil

(Applies only to sales of products or services in Brazil)

1. Special aspects applicable to Rebill buyers in Brazil.

  • By using the Rebill Platform, the Buyer grants a payment management mandate in favor of Rebill, instructing Rebill to receive, in their name and on their behalf, the value of the products or services acquired from the Merchants and to allocate it as requested by the Buyer, under the terms of this Agreement, in order to make the payment for said product or service.
  • Rebill may, upon detecting the destination requested by the buyer for the received amounts, refrain from executing the payment order given by the Buyer, in which case it will return the amounts to the Buyer through the means available under the National Financial System.

2. Right of withdrawal.

  • As a Payer who pays for a product or service through the Rebill Platform, you may exercise the right of withdrawal provided for in Article 49 of the Consumer Protection Code before the Merchant, within seven (7) days following your purchase or receipt of the product or service. To do so, you must notify the Merchant of your intention to withdraw and follow the procedure established for it. Provided we have received your payment and have the funds in our possession, we will manage, together with the other participants in the payment chain, the refund of the paid amount within fifteen days following your withdrawal request.

‍Chile

(Applies only to sales of products or services in Chile)

  • Right of withdrawal.
    Unless the Merchant has expressly provided otherwise, you may withdraw from purchases made through the Rebill Platform as established in Article 3 bis letter b) of the Consumer Protection Law. To do so, you must contact the Merchant and unilaterally terminate the contract entered into with it using the same means employed for its execution. If the Merchant sent you written confirmation of the contract, the period will be 10 days from the date of receipt of the product or from the execution of the service contract, as applicable. If no such confirmation was received, the period will be 90 days from the date of receipt of the product or from the execution of the service contract, as applicable. After the Merchant informs us of your request, and provided we have received your payment and have the funds in our possession, we will do what is required to manage the refund of the paid amount within 45 days following your withdrawal. For Rebill to process the refund, it is essential that the funds have not been transferred to the Merchant, as otherwise the refund will be the Merchant’s responsibility. In the case of services, the refund will only cover amounts paid that do not correspond to services already provided as of the withdrawal date.

‍Colombia

(Applies only to sales of products or services in Colombia)

  • Right of Withdrawal: As a Payer, you may withdraw from certain purchases made through the Rebill Platform, provided the requirements of the Consumer Statute are met. You must notify the Merchant and the issuer of the payment instrument of your withdrawal request within five (5) business days following the execution of the service contract, delivery of the good, or expiration of the term to receive it. In this case, Rebill, together with the other participants in the payment process, will refund the paid amount within fifteen (15) business days following your withdrawal request.

Express Authorization for Data Processing (Law 1581/2012, Law 1266/2008 and related regulations):

  • By using the platform, the system, or completing a payment, the Payer declares that they are aware of Rebill’s Privacy Policy (available at https://www.rebill.com/politica-de-privacidad) ) and authorizes in a prior, express, informed, and voluntary manner REBILL SAS (hereinafter “Rebill” or the “Company”), with Tax ID (NIT) 901.595.501-1 and principal domicile in Bogotá D.C., Colombia, to collect, store, use, circulate, delete, process, transfer (nationally and internationally), and generally process their personal and financial data, including sensitive and credit data, for the purposes set forth in the Privacy Policy and these T&Cs.

    This authorization expressly includes:

    - Consultation and reporting of credit behavior to credit bureaus (DataCrédito, TransUnion, Procrédito, etc.).
    - Sharing the data with financial institutions, card networks, Rebill client merchants, partners, and authorities when necessary or legally required.
    - International transfer of data to countries that may not have an adequate level of protection (including the U.S.), with the corresponding contractual clauses and security measures.
    - The Payer may at any time exercise their rights to access, update, rectify, delete their data, and revoke the authorization (when applicable) by sending a request to protecciondedatos@rebill.com or through the procedures indicated in the Privacy Policy. They may also file complaints with the Superintendence of Industry and Commerce.

Mexico

(Applies only to sales of products or services in Mexico)

  • Consent Revocation: As a Payer, in accordance with the Federal Consumer Protection Law, you may revoke your consent regarding transactions paid through the Rebill platform. To exercise this right, you must send a notice or deliver the goods in person, by registered mail, or by another reliable means to the Merchant within 5 (five) business days following delivery of the goods or the purchase date, whichever occurs later. In this case, freight and insurance costs for returning the product will be borne by you.
  • In the case of services, you may exercise your revocation right only if more than 10 (ten) business days elapse between contracting the service and its provision.
  • When the Merchant informs us, and provided we have the funds from your payment in our possession, we will do what is necessary to manage the refund of the paid amount within 15 business days following your revocation request to the Merchant.

‍Uruguay

Scope of Services: It is expressly stated that FITZWILL S.A. (Uruguay Free Trade Zone entity) does not process local payment transactions nor acts as an acquirer or sub-acquirer for clients or payers located within the territory of the Oriental Republic of Uruguay.

The entity operates exclusively for services provided from the Free Trade Zone to the exterior. Consequently, any provision of these Terms and Conditions referring to local consumer regulations or domestic payment processing in Uruguay shall not apply, and the relationship shall be governed by the commercial regulations applicable to international services provided by FITZWILL S.A.
